Terms

Last updated 24 September 2026

Plain terms for a small piece of software. Please read the limits section, because it is the part that matters.

Who we are

BriefMark is made and sold by Oddwell Technology LLC, a New York limited liability company trading as Oddwell. "We" and "us" in these terms mean that company. Purchases are processed by Gumroad, whose own terms also apply to the transaction.

What you are buying

A Pro licence key removes the free tier's eight-authority limit. One key is for one user, on as many of that user's own machines as they like. Licences are perpetual: there is no renewal, and updates released while the product exists are included. Please do not share or resell keys.

Refunds

The free tier is the trial: briefs of up to eight authorities are fully marked, with no account and no card, so you can see exactly how BriefMark handles your citation style before paying anything.

If you buy and it does not work for your briefs, email within 14 days of purchase for a full refund. One refund per customer. A note about which citation form failed is genuinely useful and will probably get it fixed.

A refunded license key stops working: the app re-checks each key against Gumroad, and keys that have been refunded or charged back no longer unlock the paid tier.

Limits on what this software does

BriefMark inserts standard Microsoft Word TA and TOA field codes into your document. It is a marking tool. It does not:

  • check or correct citation form;
  • verify that an authority is good law, current, or correctly quoted;
  • locate pincites or supply missing citation elements;
  • guarantee that every authority in a document is found, or that every entry it produces is correct.

You are responsible for reviewing the Table of Authorities before filing. The app shows you every entry before writing anything precisely so that review can happen. BriefMark is software, not a law firm, and nothing it produces is legal advice or a substitute for professional judgement.

No warranty; limitation of liability

The software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability or fitness for a particular purpose. To the fullest extent permitted by law, our total liability arising out of your use of BriefMark is limited to the amount you paid for it. We are not liable for any indirect or consequential loss, including anything arising from a document filed with a court.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved by talking to us first will be brought in the state or federal courts sitting in Albany County, New York.

Changes

If these terms change, the updated date at the top changes with them. Material changes will not be applied retroactively to a licence already purchased.
